(1) | In connection with the closing of the initial public offering of the Issuer, Antero Resources Corporation ("Antero") contributed certain assets to the Issuer and received (i) 35,940,957 common units and (ii) 75,940,957 subordinated units, representing an aggregate 73.7% limited partner interest in the Issuer. The Issuer used the proceeds from the sale of additional common units purchased by the underwriters pursuant to their option to redeem an equivalent number of common units from Antero, which units were cancelled, to reimburse Antero for capital expenditures incurred prior to certain assets being contributed to the Issuer. |
(2) | Each subordinated unit will convert into one common unit representing a limited partner interest in the Issuer at the end of the subordination period described in the Issuer's Registration Statement on Form S-1 (File No. 333-193798). |
