(1) The reporting person is the sole member of the Issuer and, in such capacity, has the right to any and all distributions by the Issuer and to appoint each member of the Issuer's board of directors. In connection with the completion of the Issuer's initial public offering, the Issuer will convert into a Delaware limited partnership-Antero Midstream GP LP-and the membership interest will be reclassified as 186,170,213 common shares representing limited partnership interests.
